SUCCEEDS is an organization of professionals who provide services to students with disabilities at the post-secondary level. We offer a forum for networking and information dissemination locally and statewide, for service providers, licensed professionals, faculty, administrators, secondary educators, students, and the community. The organization is proactive in facilitating initiatives that positively impact students with disabilities.

ARTICLE I. THE ORGANIZATION
Section 1. NAME:
The name of the organization shall be: The South Carolina University and College Council of Educators Enabling Disabled Students (SUCCEEDS)
Section 2. VISION STATEMENT:
To become the statewide organization which provides information on disability issues in higher education.
Section 3. MISSION STATEMENT:
SUCCEEDS is an organization of professionals who provide services to students with disabilities at the post-secondary level. We offer a forum for networking and information dissemination locally and statewide, for service providers, licensed professionals, faculty, administrators, secondary educators, students and the community. The organization is proactive in facilitating initiatives that positively impact students with disabilities.
Section 4. OBJECTIVES:
Section 1. MEMBERS:
SUCCEEDS membership shall be open to persons who support the objectives of the organization. An active member shall be defined as any member who represents an institution that has paid the annual individual membership fee of $25 per person or $10 per student.
Section 2. VOTING PRIVILEGES:
Each active member in attendance will have one vote, provided that no single institution constitutes more than 25% of the members voting. Should this situation occur, the institution will be permitted to caucus and cast a total number of votes not exceeding 25% of the total vote.
Section 3. MEETINGS:
Meetings shall be called by the Chairperson as needed, but there will be a minimum of two meetings each year. The meeting place will rotate among represented institutions and meeting times will be set to allow all representatives ample travel time.
ARTICLE III. OFFICERS
Section 1. OFFICERS AND TERMS:
A. The officers of SUCCEEDS shall be a Chairperson, a Vice-Chairperson, a Secretary, and a Treasurer.
Officers for the next academic year shall be elected at the last regularly scheduled meeting in the Spring. A slate of candidates will be presented by the Nominating Committee.
Section 3. DUTIES:
The Chairperson shall call the meetings, provide the agenda, preside at meetings and work closely with the working committees of SUCCEEDS.
The Vice-Chairperson will perform the duties of the Chairperson when the Chairperson is absent and will aid the Chairperson in the articulation of the objectives stated herein.
The Secretary will keep and distribute minutes of the meetings.
The Treasurer will be the custodian of the financial records and account for any funds collected by the organization. The Treasurer will serve on the Membership Committee.
Section 4. VACANCIES IN OFFICES:
Should an officer be unable to fulfill a term, the vacancy can be filled by a vote of the active members present on nomination from the floor.
ARTICLE IV. COMMITTEES
Section 1. STANDING COMMITTEES:
The following Standing Committees shall exist:
Each committee will be composed of at least four members. Members shall serve two-year terms. Members may be selected for a maximum of two consecutive two-year terms on the same committee. [The Executive Secretary, as ex-officio member of all committees, is extended a vote, should the decision be made to extend the vote to the person holding the position. Otherwise, the Executive Secretary will have no committee vote.]
Chairpersons of Committees and/or Task Forces are:
The Executive Committee of SUCCEEDS is composed of the current elected officers and the immediate previous Chairperson of SUCCEEDS.
ARTICLE V. EXECUTIVE SECRETARY
Section 1. ELECTION AND TERM OF OFFICE:
The voting members of SUCCEEDS shall elect an Executive Secretary who shall serve a three-year term, with the successor elected at the end of the second year. The third year of each term shall be a training year for the incoming Executive Secretary. The outgoing Executive Secretary shall be responsible for this training. Upon election of such Executive Secretary, SUCCEEDS shall determine the terms of appointment, including the amount of compensation and other benefits to be paid to the Secretary.
Section 2. RESPONSIBILITIES:
The Executive Secretary shall be the chief executive and operating officer of SUCCEEDS, and shall exercise general supervision over the day-to-day affairs of the organization. The Executive Secretary shall be an ex-officio member of all committees or other bodies of SUCCEEDS but shall not have the right to vote at any meetings of such committees or other bodies, provided that the Executive Secretary may have the right to vote if such right is expressly provided by the resolution establishing such committees in accordance with Article IV, Section 2, hereof.
ARTICLE VI. AMENDMENTS
These by-laws may be amended by a two-thirds (2/3) majority of those present and eligible to vote at a regularly called meeting, and provided that the proposed amendment has been circulated to the active members of SUCCEEDS at least one week prior to the meeting.

- To promote awareness of and consistency in the application of best practices to students with disabilities statewide.
- access and disseminate information through networking with other professionals in order to enhance the opportunities for students with disabilities to successfully accomplish their goals.
- To sponsor activities which focus on topics including legal issues, assistive technology, transitions, documentation, reasonable accommodations and related issues.
- To create educational initiatives for students with disabilities.

Chairpersons of Committees and/or Task Forces are:
- To maintain communication with all committee members.
- To recruit new members to ensure no less than three members on a committee [chair counts as one].
- To conduct at least one meeting during fall and spring terms, which may be conducted after conclusion of a conference if desired. The “meeting” may also be conducted as a teleconference or via e-mail, as agreed to in advance by its members.
- To document meetings (or have them documented by a member) and to submit proceedings to Chair and/or Vice-Chair of SUCCEEDS within 30 days of occurrence.
- To attend fall and spring meetings and to provide a written report of activities to members.

ARTICLE VII. DISSOLUTION
- Upon the dissolution of the corporation, the officers of the corporation, after paying or making provision of the payment of all of the liabilities of the corporation shall dispose of all of its remaining assets exclusively for the purposes of this corporation in such a manner, or to an entity organized exclusively for serving students with disabilities under Section 501 c (3) of the Internal Revenue Code of 1986 (or corresponding provision of any future United States Internal Revenue law) as the officers of the corporation shall determine.
- Any asset not otherwise disposed of by the officers shall be disposed of upon petition for authorization by any interested party to the Superior Court of the country in which the principal office of the corporation is then located, exclusively for such charitable or educational purpose, or to such an organization or organizations as the Court shall determine, which are organized and operated exclusively for such charitable or educational purpose.
